Please read these Terms of Service carefully before using the LifesRide platform. By accessing or using LifesRide, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Systemores LLC(“Company,” “we,” “us,” or “our”), governing your access to and use of the LifesRide platform, including all associated features, content, and services (collectively, the “Service”) available at lifesride.com.

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use this Service. By using LifesRide, you represent and warrant that you meet these eligibility requirements.

2. Description of Service

LifesRide is a home intelligence platform designed to help homeowners make informed decisions about their property maintenance, repairs, and equipment. The Service includes the following core features:

• AI Bid Normalizer: An artificial intelligence engine that analyzes, compares, and normalizes contractor quotes across HVAC, Plumbing, and Roofing categories, providing homeowners with an objective breakdown of pricing components.
• Warranty Ledger: A centralized digital record for tracking home equipment, appliances, and systems, including their warranty periods, installation dates, and service histories.
• Proof Vault: A secure document storage and management system for preserving maintenance records, receipts, inspection reports, contractor agreements, and other home-related documentation.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice. Systemores LLC shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

3. Free and Premium Tiers

LifesRide offers two tiers of access:

Systemores LLC reserves the right to modify the features included in each tier, adjust storage limits, or introduce new subscription levels at its sole discretion. Changes to existing Premium subscription pricing will be communicated in advance and will not apply to the current active billing cycle.

4. User Accounts and Responsibilities

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration and keep it updated.
• Maintain the confidentiality of your account credentials and be solely responsible for all activity occurring under your account.
• Notify us immediately via our Support Center of any unauthorized access to or use of your account.
• Not share your account with any third party or allow others to access the Service through your credentials.
• Not use the Service for any unlawful purpose or in violation of these Terms.
• Not attempt to reverse-engineer, scrape, or systematically extract data from the Service.
• Not upload malicious code, viruses, or any content that could harm the Service or other users.
• Not impersonate any person or entity or misrepresent your affiliation with any person or entity.

You are responsible for all content you upload, store, or submit through the Service, including contractor quotes, documents, and equipment information. You represent and warrant that you have all necessary rights to submit such content and that doing so does not violate any applicable law or third-party rights.

5. AI-Generated Content Disclaimer

LifesRide’s AI Bid Normalizer uses machine learning models trained on publicly available pricing data, user-submitted quotes, and industry benchmarks to produce normalized cost comparisons. These outputs are inherently probabilistic and may not reflect current local market rates, site-specific conditions, material costs, labor availability, or other factors material to your specific project.

You should not rely solely on AI-generated output when making decisions about home repairs, contractor selection, or financial commitments. We strongly recommend obtaining multiple in-person estimates from licensed and insured contractors, and consulting qualified professionals before proceeding with any significant home improvement project.

Systemores LLC expressly disclaims any liability for decisions made based on AI-generated analyses, including but not limited to financial losses, property damage, or unsatisfactory contractor outcomes. The analysis tool is an aid to your decision-making process, not a replacement for professional judgment.

6. Payment and Billing

Payments for Premium subscriptions are processed securely through Stripe, Inc., a third-party payment processor. By subscribing to Premium, you authorize Systemores LLC and Stripe to charge your designated payment method for the applicable subscription fee.

Recurring Billing & Auto-Renewal

Premium subscriptions are billed on a recurring basis (monthly or annually, as selected) and will automatically renew at the end of each billing period unless cancelled prior to the renewal date. You will be charged the then-current subscription rate at the start of each renewal period. We will provide notice of any price changes at least 30 days in advance.

Cancellation Policy

You may cancel your Premium subscription at any time through your account settings. Upon cancellation, your Premium access will continue until the end of the current billing period. We do not provide prorated refunds for partial subscription periods, except where required by applicable law.

Failed Payments & Taxes

If a payment fails, we may retry the charge and/or suspend your Premium access until payment is resolved. You are responsible for keeping your payment information current. All fees are exclusive of applicable taxes; you are responsible for any taxes, levies, or duties applicable to your subscription in your jurisdiction.

7. Data Storage and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and share your personal information. By using LifesRide, you consent to the data practices described therein.

Documents, images, and data you upload to the Proof Vault and Warranty Ledger are stored securely using industry-standard encryption. While we implement reasonable technical and organizational safeguards, no method of electronic storage is 100% secure, and we cannot guarantee absolute security of your data.

You retain ownership of all content you upload to the Service. By uploading content, you grant Systemores LLC a limited, non-exclusive, royalty-free license to store, process, and display your content solely as necessary to operate and improve the Service. We will not sell your personal documents or home data to third parties.

We may use anonymized and aggregated data derived from usage patterns to improve our AI models and Service features. This data will not identify you personally. Upon account deletion, we will remove your personal data in accordance with our Privacy Policy and applicable legal obligations, subject to retention periods required by law.

8. Intellectual Property

The LifesRide platform, including its design, interface, codebase, AI models, trademarks, service marks, logos, and all content produced by Systemores LLC (collectively, “Company IP”) is owned by or licensed to Systemores LLC and is protected by applicable copyright, trademark, patent, and other intellectual property laws.

Subject to these Terms, Systemores LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes. This license does not include the right to:

• Reproduce, modify, or create derivative works of Company IP.
• Publicly display, distribute, or exploit Company IP for commercial purposes.
• Reverse-engineer, decompile, or disassemble any portion of the Service.
• Remove or alter any copyright, trademark, or proprietary notices.

Any rights not expressly granted herein are reserved by Systemores LLC. Unauthorized use of Company IP may violate applicable laws and could result in civil or criminal penalties.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYSTEMORES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or anticipated savings.
• Loss of data or inability to access data stored in the Service.
• Property damage arising from contractor decisions informed by AI analyses.
• Cost of substitute goods or services.
• Any other intangible losses.

IN NO EVENT SHALL SYSTEMORES LLC’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO SYSTEMORES LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to defend, indemnify, and hold harmless Systemores LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

• Your violation of these Terms.
• Your use of the Service, including any AI-generated analyses you act upon.
• Content you upload, submit, or otherwise make available through the Service.
• Your violation of any third-party rights, including intellectual property or privacy rights.
• Any misrepresentation you make in connection with the Service.

Systemores LLC reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, in which event you agree to cooperate with us in asserting any available defenses.

11. Termination

By You: You may terminate your account at any time by contacting us via our Support Center or through the account deletion option in your settings. Upon termination, your right to access and use the Service will immediately cease.

By Systemores LLC: We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, with or without cause and with or without notice, including but not limited to circumstances where:

• You have violated any provision of these Terms.
• Your use of the Service poses a risk to us, other users, or third parties.
• You have engaged in fraudulent or illegal activity.
• Continued provision of the Service to you is no longer commercially viable.

Upon termination for any reason, provisions that by their nature should survive will survive, including but not limited to Sections 5, 8, 9, 10, 12, and 13 of these Terms. Termination does not relieve you of any outstanding payment obligations.

12. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in Delaware, USA, and you hereby consent to and waive any objection to personal jurisdiction and venue in such courts.

Notwithstanding the foregoing, Systemores LLC reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

13. Changes to Terms

Systemores LLC reserves the right to modify these Terms at any time in its sole discretion. When we make material changes, we will notify you by:

• Updating the “Effective Date” at the top of this page.
• Sending a notification to the email address associated with your account.
• Displaying a prominent notice within the Service interface.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may cancel your account.
